• A Bite With No Teeth&ndash;Demystifying Non-Compete Clauses

  *DISCLAIMER: I am not a lawyer and this post in no way should be considered legal advice. I’m also in Canada, so references made are to Canadian court cases. I received a signed letter the other day, a reminder from my previous employer about some clauses associated with my employment and entry into an employee stock purchase program. So since this is in effect for the next 12 months, I guess I’m not starting that new job tomorrow. I’m kidding of course. How outrageous, how presumptuous, pompous, and arrogant that a company – any company – would actually place these conditions upon an employee. And yet, this is not uncommon. Especially in the IT industry, we see time and again similar wording in our employment agreements. But…are these legal? Is there any teeth behind the threat of the bite? Luckily, the answer seems to be ‘No’. I want to highlight two cases that support this. The first is Lyons v. Multari. In a nutshell, Dentist hires younger Dentist to be an associate. In their short, handwritten agreement, a non-compete clause was written stating “Protective Covenant. 3 yrs. – 5mi” (meaning you can’t set up shop within 5 miles for 3 years). Well, the young dentist left and did start an oral surgery office within 5 miles and within 3 years. Off to court they go! The initial judge sided with the older dentist, but on appeal it was overturned. Feel free to read the transcript of the decision here, but let me highlight one portion from section [19]: The general rule in most common law jurisdictions is that non-competition clauses in employment contracts are void. The sections following [19] explain further, and discuss Elsley v. J.G. Collins Insurance Agency Ltd. and its impact on Canadian law in this regard. The second case is Winnipeg Livestock Sales Ltd. v. Plewman. Desmond Plewman is an auctioneer, and worked at Winnipeg Livestock Sales. Part of his employment agreement was that he could not work for a competitor for 18 months if he left the company. Well, he left, and took up an important role in a competing company. The case went to court and as with Lyons v. Multari, the initial judge found in favour of the plaintiffs. Also as in the first case, that was overturned on appeal. Again, read through the transcript of the decision, but consider section [28]: In other words, even though Plewman has a great deal of skill as an auctioneer, Winnipeg Livestock has no proprietary interest in his professional skill and experience, even if they were acquired during his time working for Winnipeg Livestock.  Thus, Winnipeg Livestock has the burden of establishing that it has a legitimate proprietary interest requiring protection.  On this key question there is little evidence before the Court.  The record discloses that part of Plewman’s job was to “mingle with the … crowd” and to telephone customers and prospective customers about future prospects for the sale of livestock.  It may seem reasonable to assume that Winnipeg Livestock has a legitimate proprietary interest in its customer connections; but there is no evidence to indicate that there is any significant degree of “customer loyalty” in the business, as opposed to customers making choices based on other considerations such as cost, availability and the like. So are there any incidents where a non-compete can actually be valid? Yes, and these are considered “exceptional” cases, meaning that the situation meets certain circumstances. Michael Carabash has a great blog series discussing the above mentioned cases as well as the difference between a non-compete and non-solicit agreement. He talks about the exceptional criteria: In summary, the authorities reveal that the following circumstances will generally be relevant in determining whether a case is an “exceptional” one so that a general non-competition clause will be found to be reasonable: - The length of service with the employer. - The amount of personal service to clients. - Whether the employee dealt with clients exclusively, or on a sustained or     recurring basis. - Whether the knowledge about the client which the employee gained was of a   confidential nature, or involved an intimate knowledge of the client’s   particular needs, preferences or idiosyncrasies. - Whether the nature of the employee’s work meant that the employee had   influence over clients in the sense that the clients relied upon the employee’s   advice, or trusted the employee. - If competition by the employee has already occurred, whether there is   evidence that clients have switched their custom to him, especially without   direct solicitation. - The nature of the business with respect to whether personal knowledge of   the clients’ confidential matters is required. - The nature of the business with respect to the strength of customer loyalty,   how clients are “won” and kept, and whether the clientele is a recurring one. - The community involved and whether there were clientele yet to be exploited   by anyone. I close this blog post with a final quote, one from Zvulony & Co’s blog post on this subject. Again, all of this is not official legal advice, but I think we can see what all these sources are pointing towards. To answer my earlier question, there’s no teeth behind the threat of the bite. In light of this list, and the decisions in Lyons and Orlan, it is reasonably certain that in most employment situations a non-competition clause will be ineffective in protecting an employer from a departing employee who wishes to compete in the same business. The Courts have been relatively consistent in their position that if a non-solicitation clause can protect an employer’s interests, then a non-competition clause is probably unreasonable. Employers (or their solicitors) should avoid the inclination to draft restrictive covenants in broad, catch-all language. Or in other words, when drafting a restrictive covenant – take only what you need! D

• OData &ndash; The easiest service I can create: now with updates

  The other day I created a simple NastyWord service exposed via OData. It was read-only and used an in-memory backing store for the words. Today I’ll modify it to use a file instead of a list and I’ll accept new nasty words by implementing IUpdatable directly. The first thing to do is enable the service to accept new entries. Here’s the order these methods are called in our service during an insert: CreateResource – here we just instantiate a new NastyWord and stick a reference to it in our pending updates list. SetValue – this is where the “Word” property of the NastyWord instance is set. SaveChanges – get the list of pending updates, barfing on duplicates, write them to the file and clear our pending list. ResolveResource – the newly created resource will be returned directly here since we aren’t dealing with “handles” to objects but the actual objects themselves. Not too bad, eh? I didn’t find this documented anywhere but a little bit of digging in the OData spec and use of Fiddler made it pretty easy to figure out. • parallel_for_each from amp.h – part 1

  This posts assumes that you've read my other C++ AMP posts on index<N> and extent<N>, as well as about the restrict modifier. It also assumes you are familiar with C++ lambdas (if not, follow my links to C++ documentation). Basic structure and parameters Now we are ready for part 1 of the description of the new overload for the concurrency::parallel_for_each function. The basic new parallel_for_each method signature returns void and accepts two parameters: a grid<N> (think of it as an alias to extent) a restrict(direct3d) lambda, whose signature is such that it returns void and accepts an index of the same rank as the grid So it looks something like this (with generous returns for more palatable formatting) assuming we are dealing with a 2-dimensional space: // some_code_A parallel_for_each( g, // g is of type grid<2> [ ](index<2> idx) restrict(direct3d) { // kernel code } ); // some_code_B The parallel_for_each will execute the body of the lambda (which must have the restrict modifier), on the GPU. We also call the lambda body the "kernel". The kernel will be executed multiple times, once per scheduled GPU thread. The only difference in each execution is the value of the index object (aka as the GPU thread ID in this context) that gets passed to your kernel code. The number of GPU threads (and the values of each index) is determined by the grid object you pass, as described next. You know that grid is simply a wrapper on extent. In this context, one way to think about it is that the extent generates a number of index objects. So for the example above, if your grid was setup by some_code_A as follows: extent<2> e(2,3); grid<2> g(e); ...then given that: e.size()==6, e[0]==2, and e[1]=3 ...the six index<2> objects it generates (and hence the values that your lambda would receive) are:    (0,0) (1,0) (0,1) (1,1) (0,2) (1,2) So what the above means is that the lambda body with the algorithm that you wrote will get executed 6 times and the index<2> object you receive each time will have one of the values just listed above (of course, each one will only appear once, the order is indeterminate, and they are likely to call your code at the same exact time). Obviously, in real GPU programming, you'd typically be scheduling thousands if not millions of threads, not just 6. If you've been following along you should be thinking: "that is all fine and makes sense, but what can I do in the kernel since I passed nothing else meaningful to it, and it is not returning any values out to me?" Passing data in and out It is a good question, and in data parallel algorithms indeed you typically want to pass some data in, perform some operation, and then typically return some results out. The way you pass data into the kernel, is by capturing variables in the lambda (again, if you are not familiar with them, follow the links about C++ lambdas), and the way you use data after the kernel is done executing is simply by using those same variables. In the example above, the lambda was written in a fairly useless way with an empty capture list: [ ](index<2> idx) restrict(direct3d), where the empty square brackets means that no variables were captured. If instead I write it like this [&](index<2> idx) restrict(direct3d), then all variables in the some_code_A region are made available to the lambda by reference, but as soon as I try to use any of those variables in the lambda, I will receive a compiler error. This has to do with one of the direct3d restrictions, where only one type can be capture by reference: objects of the new concurrency::array class that I'll introduce in the next post (suffice for now to think of it as a container of data). If I write the lambda line like this [=](index<2> idx) restrict(direct3d), all variables in the some_code_A region are made available to the lambda by value. This works for some types (e.g. an integer), but not for all, as per the restrictions for direct3d. In particular, no useful data classes work except for one new type we introduce with C++ AMP: objects of the new concurrency::array_view class, that I'll introduce in the post after next. Also note that if you capture some variable by value, you could use it as input to your algorithm, but you wouldn’t be able to observe changes to it after the parallel_for_each call (e.g. in some_code_B region since it was passed by value) – the exception to this rule is the array_view since (as we'll see in a future post) it is a wrapper for data, not a container. Finally, for completeness, you can write your lambda, e.g. like this [av, &ar](index<2> idx) restrict(direct3d) where av is a variable of type array_view and ar is a variable of type array - the point being you can be very specific about what variables you capture and how. So it looks like from a large data perspective you can only capture array and array_view objects in the lambda (that is how you pass data to your kernel) and then use the many threads that call your code (each with a unique index) to perform some operation. You can also capture some limited types by value, as input only. When the last thread completes execution of your lambda, the data in the array_view or array are ready to be used in the some_code_B region. We'll talk more about all this in future posts… (a)synchronous Please note that the parallel_for_each executes as if synchronous to the calling code, but in reality, it is asynchronous. I.e. once the parallel_for_each call is made and the kernel has been passed to the runtime, the some_code_B region continues to execute immediately by the CPU thread, while in parallel the kernel is executed by the GPU threads. However, if you try to access the (array or array_view) data that you captured in the lambda in the some_code_B region, your code will block until the results become available. Hence the correct statement: the parallel_for_each is as-if synchronous in terms of visible side-effects, but asynchronous in reality.   That's all for now, we'll revisit the parallel_for_each description, once we introduce properly array and array_view – coming next.   One of my colleague and friend, Robin is playing and struggling with the ASP.NET MVC 2 on a project these days while I’m struggling with a annoying client. Since it’s his first time to use ASP.NET MVC he was meetings with a lot of problem and I was very happy to share my experience to him. Yesterday he asked me when he attempted to insert a <br /> element into his page he found that the page was rendered like this which is bad. He found his <br /> was shown as a part of the string rather than creating a new line. After checked a bit in his code I found that it’s because he utilized a new ASP.NET markup supported in .NET 4.0 – “<%: %>”. If you have been using ASP.NET MVC 1 or in .NET 3.5 world it would be very common that using <%= %> to show something on the page from the backend code. But when you do it you must ensure that the string that are going to be displayed should be Html-safe, which means all the Html markups must be encoded. Otherwise this might cause an XSS (cross-site scripting) problem. So that you’d better use the code like this below to display anything on the page. In .NET 4.0 Microsoft introduced a new markup to solve this problem which is <%: %>. It will encode the content automatically so that you will no need to check and verify your code manually for the XSS issue mentioned below. The intent of this is to reduce common causes of XSS vulnerabilities 3: // in WebForms pages (WebForms views in the case of MVC). This involves the addition of an interface 4: // System.Web.IHtmlString and a static method overload System.Web.HttpUtility::HtmlEncode(object). That is the reason why the “<input name="name" id="name" type="text"/>” was not encoded by <%: %>. So if we want to tell ASP.NET MVC, or I should say the ASP.NET runtime that the content is Html-safe and no need, or should not be encoded we can convert the content into IHtmlString. So another resolution would be like this. • JS regex isn't matching, even thought it works with a regex tester

  I'm writing a piece of client-side javascript code that takes a function and finds the derivative of it, however, the regex that's supposed to match with the power rule fails to work in the context of the javascript program, even though it sucessfully matches when it's used with an independent regex tester. The browser I'm executing this on is Midori, and the operating system is Ubuntu 10.04 (Lucid Lynx).   Hi there, I'm trying to work out why email I send from one domain I own is rejected by another that I own, and while I think it may be related to how I've setup spf records, I'm not sure what steps I need to take to fix it. • Validation Summary for Lists using Data Annotations with MVC

  I currently use a custom method to display validation error messages for lists but would like to replace this system for using with Data Annotations. In summary on validation of my form, I want to display "*" next to each input that is incorrect and also provide a Validation Summary at the bottom that relates each error message to the particular item in the list. e.g. say if validation failed on the 2nd list item on a Name input box and the 4th item on an Address input box the validation summary would display [2] Name is invalid [4] Address is invalid Please ignore if there are mistakes in the code below. I'm just writing this as an example. • YUI Calendar: how does it load the Sam's Skin CSS?

  I'm using YUI 2's calendar in YUI 3. How does it load Sam's skin CSS? I didn't manually include it (though it seems like I should so the user can download it in the one request I make to the combo loader for css). Strangely, I don't see it being downloaded nor do I see it in the JS files themselves. I must be overlooking it. • DHCP reply packets do not make it into KVM instance in OpenStack

  I'm running a KVM instance inside of OpenStack, and it isn't getting an IP address from the DHCP server.   I am new to Perl and I work in a Linux OEL 5x server. I am trying to configure the Perl DB modules for Oracle connectivity (DBD and DBI modules). • Network traffic is not being forwarded from a VM to the network using a bridged interface with Xen + libvirt

  I'm having trouble getting network access from a VM that I'm running using Xen and libvirt. I've been trying different things and reading similar posts online for a couple of days but I'm really stuck at this point. If anybody could offer some insight it would be much appreciated. I have a VM that I'm running on a host with a bridge set up as br0 and an interface eth0 on a 192.168.60.0/24 subnet. My thought here is that the packets are being blocked before going on to the bridge somehow. I tried adding an iptables rule to resolve this: -A FORWARD -m physdev --physdev-is-bridged -j ACCEPT but it didn't work. I also tried the following: /sbin/sysctl -w net.bridge.bridge-nf-call-ip6tables=0 /sbin/sysctl -w net.bridge.bridge-nf-call-iptables=0 /sbin/sysctl -w net.bridge.bridge-nf-call-arptables=0 /sbin/sysctl -w net.ipv4.ip_forward=1 which had no impact. Is it obvious to somebody who has more experience than me what I'm missing here? Should vif6.0 have the same MAC address is eth0 in the vm? Do I need more rules in my iptables? Thanks for any help!

Is that possible? Because in the processors ratings these processors are about the same. Is it possible that this is because of cache or something? By "freezing" i mean the following: it doesn't respond to ping we can't login with SSH we don't get any answer from MySQL there is no entry in the error logs! neither from linux neither from MySQL. we have already changed to a completely new hardware, we have the same problem, so it's definitely not a hardware problem. we do not have any other software installed except a firewall (iptables rule) we can restart the server from another server using rsyslog (www.rsyslog.com)(software reset) Could someone help me, by giving me some pointers what could i do to figure out the problem?   I posted an article here (http://stackoverflow.com/questions/1095195/how-do-i-set-permissions-on-my-vsto-outlook-add-in) and I was able to build my installer. I thought that once the installer built itself, everything would work fine. I was wrong. It works on about half of the PC's I've run the installer on. My problem is that the other half doesn't work. I'm trying to install an add-in to Outlook Office 2003. I've even gone so far as to create the steps manually by using a batch file. Nothing seems to work on these PCs and I can't find a common denominator that I can rule out or in that will make the VSTO Addin work. Here is the batch file I am using. I'm pretty new to this and I'm not sure what else to test. I don't know whether I should be looking in etc/interfaces and if I did what to look for. It's weird because it used to work but after a reboot it's down so I must have changed something.... :). I realise a timeout indicates the server is not responding and I assume it's because the request isn't actually getting through. I installed MySQL via apt-get and Tomcat manually. • jQuery programmatically removing validation highlighting

  The form has two check boxes (cbDeclined & cbIsOOfFac), two text fields and a drop down (txtHeight, txtWeight, ddlDevice). If either check box is checked, then the other controls are disabled and the rules for the other do no apply. The user clicks on either cbDeclined & cbIsOOfFac. The highlight is NOT going away. I am trying to figure out how to get the highlighting around the height and drop down to go away. I tried to create a fully working jsFiddler, but I cannot get anything to work, though everything looks correct. here is the link (I cannot post links, so I expanded it a bit) jsfiddle dot net/scarleton/9hDZQ/12/ If you remove the last /12/, you will see my first version that is a cut/paste from the real thing. Per a suggestion I tried adding $('form').valid(); a number of places. When I added it to the end of the UpdateTextBoxes() function, they started out highlighted, not what I want. When I added it after the click() event of either of the radio button, the text would go away, but the actual controls stayed highlighted. It looks like the function on the required property of the rule is not fully working, maybe. What is really interesting is this: When I enter a height, click , then weight and device are highlighted and have the error message under them. When I click on one of the radio buttons, the text goes away, but the highlight does not. But... The height is NOT highlighted, it stays normal.

• Ports do not open after rules appended in iptables

  I have a server that I am trying to setup for OpenVPN. I have followed all the steps, but I see that when I try to connect to it in Windows, it doesn't allow me, it just hangs on connecting, so I did a nmap scan and I see that port 1194 is not open so naturally I append the rule to open 1194 with: iptables -A INPUT -i eth0 -p tcp --dport 1194 -j ACCEPT followed by service iptables save and service iptables restart which all executed successfully. Then I try again, but it doesn't work and another nmap scan says that port 1194 is closed. • How can I get Firefox to update background-color on a:hover *before* a javascript routine is run?

  I'm having a Firefox-specific issue with a script I wrote to create 3d layouts. The correct behavior is that the script pulls the background-color from an element and then uses that color to draw on the canvas. When a user mouses over a link and the background-color changes to the :hover rule, the color being drawn changes on the canvas changes as well. When the user mouses out, the color should revert back to non-hover color. This works as expected in Webkit browsers and Opera, but it seems like Firefox doesn't update the background-color in CSS immediately after a mouseout event occurs, so the current background-color doesn't get drawn if a mouseout occurs and it isn't followed up by another event that calls the draw() routine. It works just fine in Opera, Chrome, and Safari. How can I get Firefox to cooperate? I'm including the code that I believe is most relevant to my problem. • How to set up port forwarding and firewall settings for torrents using Transmsission on Mac OSX 10.5

  I have picked up bits of advice here and there on the internet and got someway through this tortuous exercise (after it took 18 hours to download the first torrent I tried yesterday - magnet-link for a film). Where I have got stuck is with configuring the firewall on the Netgear Router but I am not sure if I have caused the problem myself by something else I have done configuring the Mac System Preferences for Security or Networking. I have been following the sections of these instructions that seem to apply, although they are written for a different OSX version (don't know which one, but the screen shots do not match what I see) and I am not wanting to set up my Mac as a server and attending to the parts that apply to port forwarding for Netgear rather than LinkSys: http://homepage.mac.com/car1son/static_port_fwd_intro.html I have been trying to follow these instructions: Instructions for DG834, DG834G, DG824M, FR114W, FM114P, FR114P, FR328S, FVL328, FVS328, FVS338, FVX538, FWAG114, FWG114P, or FVS318v3 These routers do port forwarding by assigning port numbers to a "service" associated with the application you want to run. "Rules" are set for particular services. Rules block or allow access, based on various conditions such as the time of day and the name of the service. To Create a New Inbound or Outbound Rule 1. Submit the router's address in an Internet browser. (The default is 192.168.0.1). 2. Enter the router's username and password. 3. From the main menu, click Security > Rules. 4. Click Add for inbound or outbound traffic, as appropriate to the application you are planning to run. 5. Select the Service. The services the router knows about are listed in the drop down. If the service you want is not listed, add it as described in the next section. 6. Select the Action, for example ALLOW always. 7. For Send to LAN Server, enter the IP address of the local server. Note that this is also the IP address the computers on your LAN will access. 8. For WAN User choose Any, or limit access to particular IP addresses. 9. For Log selection it is reasonable to turn logs on, especially at the beginning when you are unsure of the result of the changes you are making. Later, you may want to set logs to "Never" for performance reasons. 10. Click Apply. As noted in user manual for some models: * Consider using the Dynamic DNS feature on the Advanced menu, so that external users can find your network when the DHCP lease is renewed by your ISP. * If your own LAN server uses DHCP, and your IPs change on rebooting, consider using the Reserved IP Address feature in the LAN IP menu. To Add a Service for These Routers 1. Click Security > Services > Add Custom Service. 2. Enter any name you choose for the service. 3. Select whether the service is to use TCP or UDP. If you are unsure, select both. 4. Enter the lowest port number used by the service. 5. Enter the highest port number used. If the service uses only one port number, enter the same number. 6. Click Apply. There is no "Security - Rules" submenu in the Netgear page, so I have been trying to access "Security - Firewall Rules". I can access everthing else in the Netgear settings as Admin but I cannot get the "Firewall Rules" section to open up. (I am not 100% sure I will know exactly what to do if and when I do get it opened up!) I haven't managed to find though searching the internet any instructions that would seem to apply specifically to what I am trying to achieve, so would be very grateful if someone could either point me in the right direction or give me some advice directly.
